Kosmos Energy Announces Launch of Public Offering of Common Stock

Kosmos Energy, a leading oil and gas exploration and production company, has announced today that is has launched a registered underwritten public offering of 37,500,000 shares of common stock.

In addition, the company has indicated that it intends to grant the underwriters a 30-day option to purchase up to an additional 5,625,000 shares of common stock at the public offering price less underwriting discounts.

The net proceeds from this offering, Kosmos Energy, has said, would be used to repay outstanding borrowings under its commercial debt facility.

This included borrowings incurred to finance a portion of the previously announced acquisition of Anadarko WCTP company.

Barclays Bank, the Bank of America (BofA) Securities and Jefferies Group LLC, an American multinational independent investment bank and financial services company are acting as joint book-running managers in the offering.

The Offering is being made pursuant to an effective shelf registration statement, including a prospectus, filed by Kosmos with the US Securities and Exchange Commission (SEC) on June 21, 2021.

The offering may only be made by means of a preliminary prospectus supplement and accompanying prospectus, the company stated.

“Before you invest, you should read the applicable preliminary prospectus supplement and the prospectus in the registration statement and other documents we have filed with the SEC for more complete information about us and the offering,” Kosmos Energy noted.
